Corporate governance: innovative approach towards formation of the board of directors

Abstract

The article is dedicated to the analysis of the organization of operation of the boards of directors in Russian companies. In the present article the board of directors is considered as endogenous institution formed inside the company and as the product of regulation. In the article the theoretical basis of functioning of the board of directors directly connected with the development and analysis of the corporate-wide strategy is drafted. The role played by “independent director” in the development of the strategy aimed to the formation of the innovative strategy of the company was highlighted. In the present article I also present the analysis of the institute of independent directors in Russia from the point of view of “human capital” as the basis of intellectual capital and, thus, the instrument used by director in his work according to the interests of the company.
